Our expertise and experience includes:
Company formation. We help entrepreneurs choose an entity, structure the entity’s initial ownership, establish equity compensation plans, and protect intellectual property. In addition, we provide standard forms to help new companies get started efficiently. Sometimes our work includes restructuring companies to meet the changing needs of the founders and investors.
Preparation for fund-raising. We help entrepreneurs and companies articulate their vision in ways that will address what potential investors are looking for in high-growth businesses.
Equity and debt financing. We represent companies, as well as angel investors, venture capital funds and strategic investors, in equity and debt financing transactions. These projects include performing due diligence, advising on transaction structure, preparing and negotiating term sheets and definitive agreements, and securities law compliance. We have also represented companies and underwriters in numerous IPOs and other public securities offerings.
Governance and compliance. We advise companies and boards of directors on a variety of corporate governance matters, including fiduciary duties and conflicts of interest, as well as compliance with regulatory requirements, both in their transactions and in the conduct of their business.
Contracts. We work with clients to understand their business objectives, and then prepare and negotiate commercial and intellectual property contracts to achieve those objectives.
Employment and compensation. We advise on employment and consulting contracts, personnel policies, stock options and other service-related equity arrangements, and intellectual property agreements. In addition, as discussed in greater detail under “Labor and Employment Practice,” we advise on all aspects of employment law.
Corporate transactions. We represent companies and shareholders, both as buyers and sellers, in mergers, acquisitions, joint ventures and other strategic transactions. Our work in this area includes advising on letters of intent, structuring the transaction, conducting due diligence, advising on securities and intellectual property aspects of the transaction, and preparing and negotiating definitive agreements.
